1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Binaries Fort AB (trading as "binai.io", "we", "us", or "our"), a Swedish company registered with the Swedish Companies Registration Office and headquartered in Gothenburg, Sweden.

By accessing or using our services, including TradeFlow AI, Patchr AI, Ado.Net AI, VoltQ, and any associated platforms, APIs, or applications (collectively, the "Services"), you agree to be bound by these Terms.

2. Service Description

Binai.io provides enterprise-grade AI solutions including:

• TradeFlow AI: Cross-border trade operating system with AI-powered market intelligence
• Patchr AI: Autonomous DevOps security with real-time code healing
• Ado.Net AI: Enterprise identity and access management platform
• VoltQ: AI-driven energy management and trading platform

3. Account Registration and Security

To access certain Services, you must register for an account. You agree to:

• • Maintain and update your information to keep it accurate
• • Maintain the security of your account credentials
• • Accept responsibility for all activities under your account
• • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and may perform scheduled maintenance. We will provide advance notice of planned downtime when possible.

Enterprise customers may have specific SLA terms outlined in their service agreements.

9. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• • Merchantability and fitness for a particular purpose
• • Non-infringement of third-party rights
• • Accuracy, completeness, or timeliness of information
• • Security or error-free operation

AI-generated outputs should be reviewed and verified before use in critical applications.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINARIES FORT AB SHALL NOT BE LIABLE FOR:

• • Indirect, incidental, special, or consequential damages
• • Loss of profits, data, or business opportunities
• • Service interruptions or data loss
• • Third-party actions or content

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Binaries Fort AB, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• • Your use of our Services
• • Violation of these Terms
• • Infringement of third-party rights
• • Your content or data

12. Termination

Either party may terminate this agreement:

• • For convenience with 30 days' notice
• • Immediately for material breach
• • If required by law or regulation

Upon termination, your access will cease, and you must stop using our Services. Data retention is governed by our Privacy Policy and applicable law.

13. Dispute Resolution and Governing Law

These Terms are governed by Swedish law. Any disputes shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation in Gothenburg, Sweden
3. Arbitration under Swedish Arbitration Act rules

For EU customers, you may also have rights under EU consumer protection laws.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

Continued use after changes constitutes acceptance of the new Terms.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Binaries Fort AB.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations.

Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.
